Kellton Tech Solutions announced that the Board of Directors of the Company at its meeting held on 27 May 2015 approved the following -
Increase in authorised share capital of the Company to Rs 28.50 crore dividend into 5.70 crore equity shares of Rs 5 each.
Amendment of Memorandum of Association (MoA) of the Company.
Amendment of Articles of Association (AoA) of the Company.
Approved the proposal to issue 30 lakh convertible warrants of Rs 5 each at a price of Rs 90 per warrant, to promoters and other investors on preferential basis.
Approved the appointment of Srikanth Reddy Kolli as Company Secretary of the Company in place of Padma Loya with immediate effect.
Approved the allotment of 14,167 equity shares of Rs 5 each at a premium of Rs 5.08 under ESOS 2012 of the Company. Consequently, the equity share capital of the Company has increased to 4,34,81,599 equity shares.
