Axis Rail India announced that the Board of Directors of the Company at its meeting held on 17 March 2015, inter alia, has transacted the following;
1. Took note of the certified true Copy of the order of the High Court of Judicature at Hyderabad for the States of Telengana and Andhra Pradesh, approving the Scheme of Arrangement between KVR Rail Infra Projects and the Company;
2. Subject to the receipt of approval from the Shareholders in the Extra-Ordinary General Meeting (EGM), considered and approved the following:
i. Proposal to increase and reclassify the Authorised Share Capital of the Company;
ii. Proposal to issue and allot Fully Convertible Warrants to the tune of 33 Lac Warrants to the persons belonging to the Non-Promoter Category.
3. Considered and approved the draft Notice calling EGM and authorized the Directors to do all such acts, deeds and things to give effect to the above resolutions.
