Board of Kalindee Rail Nirman (Engineers) approves scheme of amalgamation with Texmaco Rail and Engineering
At meeting held on 30 December 2014
Kalindee Rail Nirman (Engineers) announced that the Board of Directors of the Company at its meeting held on 30 December 2014, discussed and approved filing of application, seeking sanction to the Scheme of Amalgamation of the Company with Texmaco Rail and Engineering (TREL), as required pursuant to clause 24(f) of the Listing Agreement in furtherance to the decision taken by it in its meeting held on 21 May 2014. The share swap ratio of 1:1.06, i.e., 106 (One Hundred and six only) fully paid-up equity shares of Re. 1 each of TREL to be issued for every 100 (One Hundred) fully paid-up equity share of Rs. 10 each held by a shareholder in the Company shall remain unchanged.
