Gangotri Textiles’ shareholders, at the Extraordinary General Meeting (EGM) held on 24 September 2005, inter alia, have accorded their approval to the following resolution :

1. Issue of bonus shares in the proportion of 1 share of Rs 10 each for 1 equity share of Rs 10 each.

2. Sub-division of equity shares of Rs 10 each into 2 equity shares of Rs 5 each.
