1. not to recommend any final dividend on the equity shares and the two Interim dividends of Re. 0.40 and Re. 0.70 per share declared by them at their meetings held on November 06, 2015 and 16 March 2016 respectively, aggregating to Rs. 1.10 per share be considered as final dividend on the equity shares of the Company for the financial year ended 31 March 2016;

2. Re-appointment of Dhruv M. Sawhney as Managing Director (designated as Chairman & Managing Director) and Nikhil Sawhney as Managing Director (designated as Vice Chairman & Managing Director) for a period of three years and five years respectively effective 10 May 2016, subject to the requisite approvals.
