PHIL Corporation announced that the Board of Directors of the Company at its meeting held on 16 March 2015, has discussed the following business
1. Considered and Evaluated performance of Independent Directors.
2. Noted Performance Evaluation made by Independent Director of
(a) Non Executive Director/Executive Director and Chairman
(b) Board as Whole and
(c) assessed quality, quantity and timeliness of flow of information between the company management and the Board.
3. Resignation of K D Bhat as Vice Chairman of the Company
4. Suspension of Resolution passed in 12th August Board Meeting for Reduction in Share Capital of the Company as the Board is of view that reduction of share capital is not required at present for the company and as soon as need arises the Company will again go for it.
