1. The Board considered sub-division of equity shares subject to approval of members at general meeting and in compliance with applicable provisions of the Companies Act, 2013.

2. Approved amendment to capital clause of memorandum of association pursuant to split of shares.

3. Extraordinary general meeting will be held on 03 February 2016 to obtain member's approval for sub-division of shares as above and to alter capital clause of memorandum of association.

4. The Company as required section 108 of the companies Act, 2013 read with the Rule 20 of the companies (Management and Administration) Rules 2014, as amended by the companies (Management and Administration) Amended Rules 2015, is providing electronic voting (e-voting) facility to the members through electronic voting platform of Central Depository Services Limited (CDSL). Members holding share either in physical or demat mode as on the cutoff date, i.e., 27 January 2016 may cast their votes electronically on the businesses set out in the Notice of Extraordinary General Meeting. The e-voting shall commence from 9.00 a.m. on January 31, 2016 and shall end at 5.00 p.m. on 02 February 2016.
