Genesys International Corporation has informed that the board has given consent to allot upto 6,15,000 preferential equity shares of Rs 10 each for cash at a price of Rs 19 per equity share to the promoters and / or their relatives including person acting in concert and / or their nominees.
The board has decided to allot up to 6,15,000 preferential warrants entitling the holder of warrants to subscribe to 6,15,000 equity shares of Rs 10 each for cash at a price of Rs 19 per share to promoters and / or their relatives including person acting in concert with promoters and / or their nominees.
The board has accorded preferential allotment up to 14,70,000 equity shares of Rs 10 each for cash at a price of Rs 19 per equity share to Regal Millennium Merchandise Pvt. and preferential allotment up to 12,30,000 warrants entitling the holder of warrants to subscribe to 12,30,000 equity shares of Rs 10 each for cash at a price of Rs 19 per share to Royal Millennium Merchandise Pvt.
The members at the Extra Ordinary General Meeting (EGM) of the Company have decided to increase the authorised share capital from Rs 12 crore to Rs 15 crore and consequential alteration in the articles of association of the company.
